These Terms of Use apply to the Zening AI website and general website interactions. Project-specific work, deliverables, ownership, confidentiality, payment, and service obligations are governed by the applicable proposal, statement of work, master services agreement, or other signed written agreement.

    By using this website, contacting Zening AI, submitting a form, or reviewing information on this site, you agree to these Terms of Use. If you enter into a separate written agreement with Zening AI or Utrip Group Inc, that agreement controls the project-specific terms.

    About Zening AI

    Zening AI is a technology brand operated through Utrip Group Inc and built on the Wingcode IT Solutions engineering foundation. Zening AI provides AI workflow systems, workflow analysis, AI system design, and related implementation services for specialized businesses.

    Website Information Is Not a Binding Offer

    Information on this website is for general business and informational purposes. It does not create a client relationship, guarantee availability, define project scope, or constitute a binding offer. Any engagement must be confirmed through a written proposal, statement of work, or signed agreement.

    Consultations and Project Engagements

    Initial conversations, workflow reviews, and project discussions are exploratory unless a written agreement states otherwise. Project scope, pricing, milestones, deliverables, timelines, support, ownership, and usage rights are determined by the applicable written agreement.

    Client Materials

    Clients and prospective clients may provide business information, documents, workflows, processes, examples, data, or other materials. As between the client and Zening AI, the client retains ownership of its own pre-existing materials, business data, trademarks, confidential information, and intellectual property.

    Zening Materials and Intellectual Property

    Zening AI and its related entities retain ownership of their pre-existing materials, methods, know-how, templates, frameworks, software tools, code libraries, system architecture patterns, AI workflow patterns, prompts, evaluation methods, design approaches, documentation formats, and other intellectual property developed independently or used generally in the business.

    Deliverables and Project Rights

    Rights to project deliverables, source code, documentation, designs, workflows, models, configurations, and related materials are governed by the applicable proposal, statement of work, master services agreement, or signed written agreement.

    Unless a signed written agreement expressly states otherwise, Zening AI retains ownership of its underlying tools, methods, reusable components, templates, frameworks, know-how, generalized workflow patterns, and pre-existing intellectual property.

    Any assignment, buyout, or full transfer of ownership must be expressly stated in a signed written agreement and is effective only after full payment of all applicable fees.

    Confidentiality

    Zening AI understands that business workflows, documents, and operating information may be sensitive. Confidentiality obligations, if any, are governed by the applicable written agreement or separate nondisclosure agreement. Even when no formal agreement is in place, Zening AI aims to treat submitted business information responsibly and professionally.

    Use of Generalized Learnings

    Zening AI may use de-identified, aggregated, or generalized learnings from its work to improve its methods, templates, frameworks, workflow analysis, AI system design practices, and services, provided that such use does not identify a client or disclose confidential client information.

    AI-Assisted Work and Human Review

    Zening AI may use AI tools, automation, and third-party technology providers in connection with analysis, prototyping, design, development, communication, or internal operations. AI-assisted outputs may contain errors or require review. Clients are responsible for reviewing and approving business decisions, operational decisions, public-facing content, and regulated or high-risk uses.

    No Legal, Financial, or Professional Advice

    Unless expressly stated in a separate signed agreement, information provided through this website or by Zening AI is not legal, financial, tax, accounting, medical, or regulated professional advice.

    No Guaranteed Outcomes

    Zening AI may discuss potential improvements, efficiencies, opportunities, or system designs, but does not guarantee business results, revenue increases, cost savings, lead generation, regulatory outcomes, or operational outcomes unless expressly stated in a signed written agreement.

    Third-Party Services

    Zening AI may use or integrate third-party platforms, hosting providers, email services, analytics tools, AI providers, APIs, software services, or infrastructure providers. Third-party services are governed by their own terms and policies.

    Acceptable Use

    You agree not to misuse the website, interfere with its operation, submit unlawful content, attempt unauthorized access, reverse engineer protected systems, or use the website for abusive, misleading, infringing, or illegal purposes.

    All website text, graphics, design, branding, examples, case studies, service descriptions, and related content are owned by or licensed to Zening AI or its related entities and may not be copied, reproduced, or used commercially without permission.
